ImpacTech Systems, LLC – Terms and Conditions of Use (Last Updated – May 28, 2026)
These Terms and Conditions (“Terms”) govern your access to and use of the websites, platforms, memberships, materials, frameworks, executive briefings, tools, downloads, digital resources, memberships, and related services provided by ImpacTech Systems, LLC (“ImpacTech,” “ITS,” “we,” “us,” or “our”), including but not limited to:
a. Strata Executive Response System™
b. Policy Vulnerability Diagnostic™
c. Policy and Program Resilience Framework™
d. Executive Advisory Briefings
e. Executive Intelligence Briefings
f. Strategic frameworks, templates, worksheets, and planning tools
g. Digital memberships, portals, protected resources, and associated materials
(collectively, the “Resources”).
By accessing, purchasing, enrolling in, or using the Resources, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Resources.
1. License and Permitted Use
ITS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Resources solely for your internal organizational and authorized business purposes, subject to full compliance with these Terms.
Access to the Resources constitutes a license to use protected materials and does not transfer ownership or intellectual property rights.
Unless expressly authorized in writing by ImpacTech Systems, you may not:
a. Share, sublicense, transfer, assign, distribute, or resell access to the Resources;
b. Permit unauthorized individuals or organizations to access membership materials;
c. Share login credentials or protected access links;
d. Copy, reproduce, publish, upload, transmit, distribute, display, or exploit the Resources in any form;
e. Use the Resources to create competing products, derivative works, trainings, consulting materials, AI systems, prompts, datasets, or methodologies;
f. Use the Resources for public presentations, courses, publications, workshops, or consulting engagements without prior written authorization.
2. Membership Access and Restrictions
Certain Resources, including Strata Executive Response System™, may be offered through recurring or limited-access memberships.
Membership access is restricted to the authorized purchaser and approved organizational users associated with the applicable membership tier.
ImpacTech Systems reserves the right to:
a. Suspend or terminate access for unauthorized sharing or misuse;
b. Modify membership structure, delivery schedules, programming, or included materials;
c. Update, replace, or discontinue content, sessions, resources, or features at any time;
d. Limit or revoke access for violations of these Terms.
e. Founder pricing, enrollment terms, and associated benefits are subject to change after the Founder enrollment period concludes.
3. No Legal, Financial, Political, or Professional Advice
The Resources are provided for informational, strategic, educational, and executive guidance purposes only.
The Resources do not constitute:
a. legal advice,
b. lobbying representation,
c.financial advice,
d. accounting advice,
e. political campaign management,
f. regulatory guidance,
g. or any licensed professional service.
Your use of the Resources does not create:
a. an attorney-client relationship,
b. consultant-client relationship,
c. fiduciary relationship,
d. partnership,
e. agency relationship, or
f. ongoing advisory obligation.
Organizations and individuals remain solely responsible for their own decisions, implementation, compliance obligations, governance practices, and operational actions.
ITS makes no guarantees regarding organizational outcomes, funding decisions, political developments, regulatory actions, operational results, or strategic success.
4. Intellectual Property Rights
All Resources, including but not limited to:
a. frameworks,
b. methodologies,
c. systems,
d. briefings,
e. analyses,
f. templates,
g. worksheets,
h. graphics,
i. videos,
j. recordings,
k. strategic concepts,
l. written content,
m. names,
n. branding, and
o. proprietary methodologies
are and remain the exclusive intellectual property of ITS and its licensors.
All rights are reserved.
No ownership rights are transferred through purchase, enrollment, access, download, or use of the Resources.
Unauthorized use of the Resources constitutes infringement of ImpacTech Systems’ intellectual property rights and may result in legal action.
5. Confidentiality and Non-Disclosure
You acknowledge that the Resources contain confidential, proprietary, and commercially valuable information developed by ITS.
You agree to:
a. maintain the confidentiality of all non-public materials;
b. prevent unauthorized access or disclosure;
c. use reasonable safeguards to protect proprietary information; and
d. refrain from reproducing or disseminating protected materials.
These obligations survive termination of access to the Resources.
6. AI, Machine Learning, and Data Restrictions
You may not use any portion of the Resources, whether in whole or in part, to:
a. train artificial intelligence systems,
b. train machine learning models,
c. generate datasets,
d. create prompts or prompt libraries,
e. develop automated outputs,
f. or create derivative analytical systems.
Uploading, copying, or transmitting the Resources into AI systems or generative platforms without express written authorization from ImpacTech Systems is strictly prohibited.
Unauthorized use of the Resources for artificial intelligence, machine learning, automated systems, dataset generation, or derivative analytical development constitutes a material violation of these Terms.
Violation of this Section may result in the immediate suspension, revocation, or termination of access to the Resources, memberships, platforms, and associated materials without refund, in addition to any other remedies available to ImpacTech Systems at law or equity.
7. User Conduct and Prohibited Activities
You agree not to:
a. Use the Resources unlawfully, fraudulently, or deceptively;
b. Circumvent security protections or access restrictions;
c. Interfere with the operation of our websites, systems, or platforms;
d. Remove copyright, trademark, watermark, or proprietary notices;
e. Reverse engineer or attempt to replicate proprietary methodologies;
f. Misrepresent affiliation with ITS;
g. Share protected materials outside your authorized organization.
Violation of this Section may result in the immediate suspension, revocation, or termination of access to the Resources, memberships, platforms, and associated materials without refund, in addition to any other remedies available to ImpacTech Systems at law or equity.
8. Payments, Renewals, and Refunds
Certain Resources may require recurring or one-time payments.
By purchasing or enrolling, you authorize applicable charges associated with the selected offering.
Unless otherwise stated in writing:
a. Membership fees and other fee for services are non-refundable;
b. Failure to use the Resources does not relieve payment obligations;
c. ImpacTech Systems may suspend access for failed or delinquent payments;
d. Pricing and membership structures may change prospectively.
Any refund exceptions are solely at the discretion of ImpacTech Systems.
9. Third-Party Platforms and Services
The Resources may integrate with or reference third-party platforms, software, websites, payment processors, or services.
ImpacTech Systems does not control and is not responsible for:
a. third-party content,
b. platform outages,
c. data practices,
d. payment processing errors, or
e. external system functionality.
Your use of third-party services, is subject to those providers’ separate terms and policies.
10. Warranty Disclaimer
The Resources are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
To the fullest extent permitted by law, ImpacTech Systems disclaims all express and implied warranties, including:
a. merchantability,
b. fitness for a particular purpose,
c. accuracy,
d. availability,
e. non-infringement, and uninterrupted access.
We do not guarantee:
a. specific outcomes,
b. uninterrupted service,
c. error-free operation, or future availability of any Resource.
11. Limitation of Liability
To the fullest extent permitted by law, ITS, its officers, employees, contractors, affiliates, and representatives shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages arising from or related to:
a. use of the Resources;
b. inability to access the Resources;
c. organizational decisions;
d. funding outcomes;
e. governance developments;
f. policy changes;
g. operational disruptions; or
h. reliance on the Resources.
In all circumstances, ITS’ total cumulative liability shall not exceed $200.00 USD.
12. Indemnification
You agree to indemnify, defend, and hold harmless ITS and its officers, employees, affiliates, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from:
a. your use of the Resources;
b. your violation of these Terms;
c. unauthorized sharing or misuse of the Resources; or
d. your violation of applicable law or third-party rights.
13. Governing Law and Mandatory Arbitration
These Terms are governed by the laws of the State of South Carolina without regard to conflict of law principles.
Any dispute arising out of or related to these Terms or the Resources shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules.
Arbitration shall occur in Richland County, South Carolina before a single neutral arbitrator.
The arbitrator’s decision shall be final and enforceable in any court of competent jurisdiction.
Each party shall bear its own fees and costs unless otherwise determined by the arbitrator.
You waive:
a. any right to a jury trial; and
b any right to participate in class actions or representative proceedings.
All claims must be brought individually.
14. Remedies for Violations
You acknowledge that unauthorized use or disclosure of the Resources would cause irreparable harm to ImpacTech Systems for which monetary damages alone would be insufficient.
ITS shall therefore be entitled to all remedies available at law and equity, including:
a. injunctive relief without bond;
b. attorney’s fees and collection costs;
c. actual damages;
d. consequential damages;
e. lost business opportunity damages;
f. and liquidated damages of no less than $50,000 USD per occurrence for each violation.
You agree that this amount constitutes a reasonable estimate of damages and is not a penalty.
Each unauthorized disclosure, distribution, reproduction, or misuse constitutes a separate occurrence.
15. Digital Monitoring and Enforcement
ImpacTech Systems reserves the right to use:
a. digital watermarking,
b. monitoring systems,
c. access tracking,
d. portal analytics,
e. DRM protections, and
f. other enforcement technologies
to detect unauthorized use, sharing, or distribution of proprietary materials.
Use of the Resources constitutes consent to reasonable monitoring and enforcement activities intended to protect ImpacTech Systems’ intellectual property and contractual rights.
16. Attribution and Limited Reference Rights
Users may reference ITS’ products, frameworks, or methodologies by name only for internal organizational discussion or limited professional reference, provided that:
a. proper attribution is clearly given to ITS; and
b. no proprietary content is reproduced or distributed.
No license is granted to reproduce any framework, methodology, visual, written content, or protected material.
17. Force Majeure
ImpacTech Systems shall not be liable for delays, interruptions, or failures resulting from events beyond our reasonable control, including:
a. natural disasters,
b. governmental actions,
c. cyber incidents,
d. labor disruptions,
e. platform outages,
f. acts of war,
g. pandemics,
h. acts of God, or
i. telecommunications failures.
18. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
19. Changes to Terms
ImpacTech Systems may update or modify these Terms at any time by posting revised Terms on our website.
Continued access to or use of the Resources after updates constitutes acceptance of the revised Terms.
