ImpacTech Systems, LLC – Terms & Conditions of Use (Final Version – November 18, 2025)

These Terms & Conditions (the “Terms”) govern your access to and use of the website, materials, tools, and resources made available by ImpacTech Systems, LLC (“ImpacTech,” “we,” “us,” or “our”), including but not limited to the Policy and Program Resilience Framework™, related checklists, templates, and digital downloads (collectively, the “Resources”).

By accessing or using the Resources, you agree to be bound by these Terms. If you do not agree, you must not access or use the Resources, website, materials, and tools.

1. License & Access

ImpacTech grants you a non-exclusive, non-transferable, revocable license to access and use the Resources for your internal organizational purposes, provided that you comply fully with these Terms. Redistribution, resale, or use by third parties without written permission from ImpacTech is prohibited.

2. No Legal, Financial, or Professional Advice

The Resources are provided for informational and strategic planning purposes only and do not constitute legal, financial, or professional advice. Use of the Resources does not create an attorney–client or advisor–client relationship. You should consult qualified professionals before acting on information provided. ImpacTech is not responsible for decisions made based on the Resources.

3. Third-Party Links & Content

The Resources may contain links to third-party websites or data. These are provided for convenience only. ImpacTech does not control, endorse, or assume responsibility for third-party content or privacy practices.

4. Intellectual Property Rights

All content, text, graphics, tools, and templates within the Resources are the exclusive property of ImpacTech or its licensors. All copyrights, trademarks, and proprietary rights are reserved. Use of the Resources does not transfer any ownership rights.

5. User Conduct & Restrictions

You agree not to:

-Use the Resources unlawfully or fraudulently.

-Reproduce, print, copy, sell, or distribute any portion of the Resources without express and written authorization from ImpacTech.

-Remove or obscure proprietary notices.

-Circumvent or interfere with security or access controls.

6. Warranty Disclaimer

The Resources are provided “as is” and “as available,” without warranties of any kind. ImpacTech disclaims all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Resources will be uninterrupted or error-free.

7. Limitation of Liability

To the fullest extent permitted by law, ImpacTech and its officers, employees, and affiliates are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of ImpacTech's Resources, website, materials, and tools. In any event, ImpacTech’s total liability shall not exceed $200.00 USD.

8. Indemnification

You agree to indemnify and hold harmless ImpacTech, its officers, directors, and agents from any claims, losses, or expenses arising out of your use of the Resources or violation of these Terms.

9. Assignment

You may not assign or transfer these Terms without written consent from ImpacTech. We may assign our rights or obligations under these Terms at any time.

10. Governing Law and Mandatory Arbitration

These Terms are governed by the laws of the State of South Carolina.

You and ImpacTech Systems agree that any dispute or claim arising out of or related to these Terms or the Resources shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration will occur before a single neutral arbitrator in Richland County, South Carolina. Each party will bear its own costs. The arbitrator’s decision will be final and enforceable in any court of competent jurisdiction.

Class Action Waiver: All claims must be brought individually, not as part of any class or representative proceeding.

Waiver of Jury Trial: You and ImpacTech each waive any right to a jury trial.

11. Remedies for Violation of Terms

You acknowledge that any unauthorized use or breach of these Terms would cause irreparable harm to ImpacTech for which monetary damages alone would be inadequate.

Accordingly, ImpacTech shall be entitled to seek all remedies available at law and equity, including:

Injunctive relief (without posting bond), Actual, special, consequential, attorney's and collection fees, and punitive damages, including compensation for lost business opportunities or profits, and Liquidated damages of no less than $50,000.00 USD per occurrence for each violation, representing a reasonable estimate of damages likely to result from such breach.

You agree this amount is fair and not a penalty, and that each instance of violation constitutes a separate occurrence.

12. Confidentiality and Non-Disclosure

You acknowledge that the Resources, including all frameworks, methodologies, templates, and supporting materials, contain proprietary and confidential information belonging to ImpacTech Systems.

You agree to:

-Maintain the confidentiality of all non-public information obtained through access to the Resources;

-Not disclose, reproduce, or distribute such materials to any third-party without ImpacTech’s written consent; and

-Use the Resources solely for your internal organizational purposes.

This obligation survives termination or expiration of your access to the Resources.

13. Non-Commercial Use Restriction

The Resources are provided exclusively for internal use by your organization or entity. You may not:

-Incorporate any portion of the Resources into products, courses, consulting engagements, or publications for sale, fee, or public distribution or any usage (paid or unpaid);

-Use, adapt, or modify the Resources to create derivative works or training materials for third parties or your own purposes; or

-Represent the Resources or derivative works as your own intellectual property.

Any commercial use without written authorization constitutes a material breach of these Terms and triggers ImpacTech’s right to all remedies described herein, including liquidated damages.

14. Digital Tracking and Enforcement

ImpacTech reserves the right to employ digital watermarking, access monitoring, or other technologies to detect unauthorized use, reproduction, or distribution of its proprietary materials. Use of the Resources constitutes consent to reasonable monitoring and enforcement activities for the purpose of protecting ImpacTech’s intellectual property and contractual rights.

15. Attribution and Limited Sharing (Revised)

Users may reference or cite the Policy and Program Resilience Framework™ or other ImpacTech Systems materials by name only for internal reporting or professional presentations, provided that:

Proper attribution is clearly given to ImpacTech Systems, LLC as the creator and copyright holder; and

No portion of the Resources—including text, templates, visuals, frameworks, or other proprietary content—is copied, reproduced, published, uploaded, or distributed in any form without prior written permission from ImpacTech.

Reproduction or dissemination of the Resources, in whole or in part, whether for public, academic, or commercial purposes, is strictly prohibited.

All rights, title, and interest in the Resources remain exclusively with ImpacTech Systems, LLC.

16. Force Majeure

ImpacTech will not be liable for delays or failures caused by events beyond its control, including, but not limited to, acts of God, natural disasters, pandemics, acts of war, or governmental actions.

17. Severability

If any provision of these Terms is held invalid, the remaining provisions remain in effect.

18. Changes to Terms

We may modify these Terms at any time by posting updated Terms on our website. Continued use of the Resources after such posting constitutes acceptance of the revised Terms.
